The Corporation Division is working to provide more of our services online. We invite you to explore all of the services that we currently support.


	Forms are available online to download and print. Completed forms should be mailed and are generally processed within *five* business days of receipt.

You can also register a new Oregon Assumed Business Name (DBA), Business or Nonprofit Corporation, or Limited Liability Company online through our Central Business Registry. Online filing is the fastest way to register a new business, as filings are typically processed within one business day of receipt. We are working to add other business entity types including Foreign businesses organized outside of Oregon.

Print a Duplicate First Annual Report
If your business entity is due to file the first annual report, you can Print a Duplicate First Annual Report to file with the Corporation Division.


	Enter the business registration number, click the “Renew” button, then select the link "Click here to generate and print a first-year annual report."

Request a Reinstatement Form
If your business has been "administratively dissolved" for failure to file an annual report within the last five years, you may be able to request to have the business entity reinstated.

This search allows you to enter a registry number to find all entities that are associated with that business entity.

Going Out of Business Sales

File a new going out of business - notice of intent
A person or business may not sell, offer for sale or advertise for sale merchandise at a going out of business sale unless the person has filed a notice of intent with the Secretary of State.

Search, View, and Print an existing going out of business - notice of intent filing
A person must display a copy of the notice of intent filed with the Secretary of State in a prominent place on the premises where the going out of business sale is being conducted.

Search for information on UCC secured transactions, as well as, Farm Product notices, IRS Tax Liens, Agricultural Services Liens, Agricultural Produce Liens, Grain Producer's Liens, Revenue Warrants and Employment Warrants. Search by debtor name (business or individual), secured party name or filing number.

Online access to images of UCC filings is currently unavailable. To request a copy of a UCC filing, please complete and submit form UCC11.
