Annual Report Help

Business Information

Business Name:
The business name cannot be changed during the filing of a renewal. To change a business name you must file an Amendment.  Click here to go to our Forms page to select the appropriate form to Amend.

Business Description:
The business description text must describe your business activity. Examples: café, consulting, salon.

Business Email Address:
This address may be used in the future for electronic notifications from the Corporation Division.

Mailing Address for Notices:
This is the address the Corporation Division will use to send the renewal and other notices.

Daytime Contact Name & Phone Number:
This is the person the Corporation Division may contact with questions about this filing.

Jurisdiction and Location Information

Jurisdiction:
Jurisdiction is the state or country of formation and cannot be updated.

Primary Physical Location:
This is the principle office address for the business. This does not have to be an Oregon address.

Registered Agent Information

Registered Agent:
This is the person or entity that is authorized to accept service of process for this business. This may be an Individual or a ‘Business of Record’. ‘Business of Record’ means it is on file with the Oregon Corporation Division. The address must be a street address in Oregon. An Assumed Business Name cannot be the Registered Agent.

Officer Information (Corporations)

President:
List the name and address of the current President.

Secretary:
List the name and address of the current Secretary. The Secretary may be the same person as the President.

Nonprofit Type Member Information (Nonprofit Corporations Only)

Nonprofit Type:
A nonprofit Corporation must be Public Benefit, Mutual Benefit or Religious. This information is provided at the time of initial filing and cannot be updated during the filing of the renewal. Articles of Amendment are required to change this information.  Click here to download an Amendment form.

Members:
A nonprofit Corporation must designate whether they will have members or not. This information is provided at the time of initial filing and cannot be updated during the filing of the renewal. Articles of Amendment are required to change this information. Click here to download an Amendment form.

Member/Manager Information (Limited Liability Companies)

Members or Managers:
List the name and address of at least one member or manager of the Limited Liability Company.

Partner Information (Limited Liability Partnerships Only)

Names and addresses of at least two partners of the Limited Liability Partnership. Address information may be updated on the renewal. Partner information other than the address cannot be updated during the filing of the renewal. An Amendment is required to change this information. Click here to download an Amendment form.  

General Partner Information (Limited Partnerships Only)

Names and addresses of the general partners of the Limited Partnership. Address information may be updated on the renewal. General Partner information other than the address cannot be updated during the filing of the renewal. An Amendment is required to change this information. Click here to download an Amendment form. 

Trustee Information (Business Trusts Only)

Names and addresses of the trustees of the Business Trust. Address information may be updated on the renewal. Trustee information other than the address cannot be updated during the filing of the renewal. An Amendment is required to change this information.  

Assumed Business Name Authorized Representative/Registrant Information

Name and address of the authorized representative (person who receives mailed notification) of the Assumed Business Name.  Address information may be updated on the renewal.  Representative information other than address cannot be updated on the renewal.  An Amendment is required to change this information. Names and addresses of the registrants (owners) of the Assumed Business Name. Address information may be updated on the renewal. County Information (Assumed Business Names Only)

List of counties the Assumed Business Name is registered to do business in. This information cannot be updated on the renewal.  An Amendment is required to change this information. Click here to download an Amendment form.

Signer Information

Signatures:
The signer for the renewal must  type their name in the signer box and then retype their name in the signature box exactly as it was listed.

The exception to this is if someone has power of attorney or is attorney in fact for the business. (See below for more information on Power of Attorney)

Signing by Power of Attorney?
If you have the Power of Attorney to sign the renewal filing, enter the name and title of that person on the ADD SIGNER page, then sign by Power of Attorney when prompted on the SIGNATURE page.

Power of Attorney/Attorney in Fact:
An instrument in writing whereby one person, as principal, appoints another as his agent and confers authority to perform certain acts on behalf of the principal.
